Bylaws

(LAKE BURIEN SHORE CLUB INCORPORATED)

1. The name of the organization shall hereinafter be known as the Lake Burien Shore Club, Inc. as provided for in Articles of Incorporation, Article No.127272 filed September 27, 1954 with the Secretary of the State of Washington and in the office of the County Auditor of King County, State of Washington which articles are on record in the office of The Secretary of State on microfilmed roll 72 at page 1085-89, Domestic Corporation.

2. The reasons for organizing the Lake Burien Shore Club, Incorporated are:

  1. To preserve, develop, and enhance the potentialities of the Lake Burien site.
  2. To arouse interest in sanitation and drainage problems in the area of and adjacent to Lake Burien.
  3. To provide a common effort for the protection of life and property upon Lake Burien and adjacent thereto.
  4. To provide for surveillance of community activities to determine their effect on the lake or other activities.
  5. To promote the general welfare of the community surrounding and in he vicinity.
  6. To engage in any business or activity authorized by the laws of the State of Washington for non-profit corporations to engage in that the Board of Trustees or said corporation shall from time to time determine; including, but not limited to, The acquisitions, use, encumbrance and disposal of all types and kinds of property, both real and personal.

3. Regular meetings shall be held in December of each year. The day and time shall be determined by the Board of Trustees. The Secretary shall mail notices of meetings at least one week in advance of such meetings to all members in good standing, at the last known address.

Special meetings may be called by the President, with the approval of the Board of Trustees at other times.

4. The affairs of the Corporation shall be administered by a non-salaried Board of Trustees onsisting of the President, Vice-President, Secretary, Treasurer and the past three Presidents.

Following the adoption of these by-laws there shall be an election of officers and trustees as stated above. The officers shall serve until the annual election to be held in September of 1955 or until their successors are elected.

A trustee must be a member of the Corporation in good standing. Vacancies occurring on the board of Trustees shall be filled by the Board of Trustees.

All elections and business shall be conducted in accordance with Robert's Rules of Order, Revised Edition, provided such rules are not inconsistent with these by-laws.

5. The voting membership of the Corporation shall be limited to one adult member from each family whose deed in fee, contract to purchase or duly recorded easement abuts on Lake Burien. In event of ownership as above by a corporation or association one vote may be exercised by one officer or director of said Corporation or Association

A member of the Corpcration shall lose his membership in the corporation by conveyance of his fee, contract to purchase or easement of property abutting on Lake Burien or for non-payment of dues.

6. Dues in this Corporation shall be thirty dollars ($30.00) per voting membership per year from September 1 to September 1.

7. A member shall lose his rights in any corporate property upon cessation of membership, however any conveyance of property rights by a member shall entitle the purchaser to rights and privileges in the corporation of the seller upon payment of corporate dues.

8. The quorum for the regularly scheduled meetings shall consist of twenty percent of the voting membership, including proxy.

The quorum for a special meeting shall consist of fifty percent of the total membership, including proxies.

Voting shall be on a basis of one vote per membership.

Proxies will be recognized only in writing on specific issues stated in the proxy stated in the proxy.

9. The majority of a quorum of the membership or the Corporation at any regular or special meeting may direct the manner of the distribution of any surplus funds or property of the Corporation.

The Board of Trustees may authorize the expenditure of corporate funds for the expenses incurred in administering corporate business or activities of the Corporation.

10. The standing committees of the Lake Burien Shore Club, Incorporated shall consist of the following:

The standing committees appointed by the President with the approval of the Board of Trustees.

11. These by-laws may be amended by a two-thirds majority vote of those present and voting at any regularly scheduled meeting.
